All client work is governed by written project agreements specifying fixed scope, pricing, and deliverable milestones.

2. Intellectual Property & Ownership

Upon full payment of agreed project fees, all final custom deliverables, source code, designs, and assets created specifically for the client become the sole property of the client. Brainsroot Inc. retains ownership of pre-existing proprietary tools, starter frameworks, and internal utilities used across projects.

3. Fixed Pricing & Payment Terms

All project quotes are provided in writing as fixed-price engagements. Scope changes requested during development will be evaluated and agreed upon via written change orders before execution.

4. Limitation of Liability

Brainsroot Inc. builds software using industry best practices. We are not liable for indirect, consequential, or incidental damages arising from third-party hosting outages, external API modifications, or unauthorized user access beyond our reasonable control.

5. Governing Law

These terms are governed by the laws applicable to our operating corporate entities in Japan and Bangladesh.
